1. INTRODUCTION TO BRANCH PARTNER PROGRAM

1.1. Resume Kendra is pleased to introduce the Branch Partner Program, an initiative designed to expand our footprint across India by partnering with motivated individuals and entities in various cities. Branch Partners serve as our authorized representatives in their respective cities, promoting the Resume Kendra platform and facilitating connections with local companies and candidates.

1.2. Located at Sanjeet Naka, Mandsaur, RADHEJU & SONS operates this program to create a nationwide network of Branch Partners who share our vision of transforming the job marketplace in India through meaningful professional connections.

1.3. Branch Partners play a crucial role in our ecosystem by acting as our local representative, bringing Resume Kendra closer to regional communities, understanding local employment needs, and helping both employers and candidates benefit from our platform.

1.4. This Branch Partner Policy outlines the terms, responsibilities, benefits, and expectations for individuals or entities joining the Resume Kendra Branch Partner Program.

1.5. By entering into a partnership with Resume Kendra, Branch Partners agree to abide by all terms and conditions set forth in this Policy, as well as any supplemental agreements executed between the parties.


2. DEFINITIONS AND INTERPRETATION

2.1. "Branch Partner" means an individual or entity authorized by Resume Kendra to act as our local representative in a specific city or territory, promote the platform, onboard local companies and candidates, and perform related activities on behalf of Resume Kendra.

2.2. "Territory" means the specific geographic area assigned to a Branch Partner for their operations, which shall be a city or district as defined in the partnership agreement.

2.3. "Onboarding" means the process of registering a new Candidate or Employer on the Resume Kendra platform through the Branch Partner's efforts and providing them with initial guidance.

2.4. "Assisted Recharge" means the process where a Branch Partner adds funds to a Candidate's or Employer's Wallet on their behalf, as detailed in Section 8 of this Policy.

2.5. "Commission" means the compensation paid to Branch Partners for successful onboarding, assisted recharges, and other qualifying activities performed in their territory.

2.6. "Partner Dashboard" means the dedicated online portal accessible to Branch Partners for tracking their performance, commissions, managing activities, and accessing resources.

2.7. "Quarter" means a three-month period ending March 31, June 30, September 30, and December 31 of each year.

2.8. "Float Balance" means the funds maintained by Branch Partners in their Partner Wallet specifically for performing Assisted Recharges.


3. ELIGIBILITY AND SELECTION CRITERIA

3.1. To be eligible for the Branch Partner Program, applicants must be at least 21 years of age and possess a valid government-issued identity proof and address proof.

3.2. Applicants should be residents of the city or territory for which they are applying, with thorough understanding of the local job market, including knowledge of industries, companies, and employment trends.

3.3. Prior experience in sales, marketing, recruitment, banking, or business development is preferred but not mandatory. Local connections and community respect are highly valued.

3.4. Applicants must have access to a smartphone, computer, and reliable internet connection to manage their Partner Dashboard and communicate with the head office at Mandsaur.

3.5. A clean criminal record is required. Police verification and background checks will be conducted for all shortlisted applicants.

3.6. Entities applying as Branch Partners must be legally registered businesses with valid GST registration and other applicable licenses.

3.7. Good communication skills and the ability to explain platform features to both employers and job seekers are essential.

3.8. Resume Kendra reserves the right to accept or reject any application at its sole discretion without assigning any reason.

3.9. Selection decisions are based on applicant profile, local market knowledge, communication skills, integrity, and alignment with Resume Kendra's values.

3.10. Preference may be given to applicants who have a small office or workspace in their territory where candidates and employers can visit.


4. APPLICATION AND ONBOARDING PROCESS

4.1. Step 1: Initial Inquiry - Interested individuals or entities may express interest by visiting our website and filling out the Branch Partner application form or by emailing branch@resumekendra.info.

4.2. Step 2: Preliminary Discussion - Our branch partnership team will contact the applicant for an initial discussion to understand their background, territory preference, motivation, and local connections.

4.3. Step 3: Application Submission - Applicants must submit a complete application with required documents including identity proof (Aadhar, PAN), address proof, photographs, and any business registration documents.

4.4. Step 4: Background Verification - Resume Kendra conducts a thorough background verification of the applicant, including police verification, criminal record check, previous employment verification, and local reference checks.

4.5. Step 5: Personal Interview - Shortlisted applicants participate in a personal interview with our branch partnership managers at Mandsaur or through video conference.

4.6. Step 6: Territory Allocation - Upon selection, a suitable city or territory is allocated based on the applicant's preference, local knowledge, and current availability of Branch Partners in different regions.

4.7. Step 7: Agreement Execution - The Branch Partner executes a formal Branch Partnership Agreement with RADHEJU & SONS at Sanjeet Naka, Mandsaur, which incorporates this Policy by reference.

4.8. Step 8: Training Program - New Branch Partners undergo comprehensive 3-day training at Mandsaur covering the platform, policies, sales techniques, compliance requirements, and branch operations.

4.9. Step 9: Dashboard Access - Partner Dashboard credentials are provided, and the Branch Partner learns to navigate the system, track performance, manage activities, and handle assisted recharges.

4.10. Step 10: Branch Kit Distribution - Branch Partners receive a branch kit containing marketing materials, brochures, banners, visiting cards, and other necessary items.

4.11. Step 11: Launch in Territory - The Branch Partner officially commences operations in their assigned territory with support from the head office team at Mandsaur.

4.12. Step 12: Probation Period - The first three months are considered a probation period during which performance is closely monitored.


5. ROLES AND RESPONSIBILITIES

5.1. Branch Partners shall act as the official representative of Resume Kendra in their assigned territory and shall actively promote the platform through various marketing and outreach activities.

5.2. Partners shall identify and approach local companies, businesses, and organizations to onboard them as Employers on the platform, explaining the benefits of posting jobs and accessing qualified candidates.

5.3. Partners shall engage with job seekers, students, and professionals in their territory, encouraging them to register as Candidates, create complete profiles, and build professional resumes on the platform.

5.4. Partners shall organize and conduct local awareness programs, career camps, workshops, and seminars to educate the community about Resume Kendra and its services.

5.5. Partners shall assist Candidates and Employers with the registration process, profile creation, resume building, and understanding all platform features and benefits.

5.6. Partners shall facilitate Assisted Recharges for Candidates and Employers who need help adding funds to their Wallets, especially those who are not comfortable with digital payments.

5.7. Partners shall maintain regular communication with the head office at Mandsaur, providing updates on activities, challenges, market feedback, and competitor information.

5.8. Partners shall ensure all activities comply with this Policy, the Branch Partnership Agreement, and all applicable laws and regulations of their territory.

5.9. Partners shall protect the reputation and goodwill of Resume Kendra and RADHEJU & SONS at all times through professional and ethical conduct.

5.10. Partners shall submit regular reports as required by the head office, including daily activity logs, weekly progress reports, and monthly achievement summaries.

5.11. Partners shall act as a bridge between the local community and the head office, conveying feedback, suggestions, and grievances from local users.

5.12. Partners shall maintain a local presence, which may include a small office or regular meeting point where candidates and employers can visit for assistance.

5.13. Partners shall keep themselves updated about new features, policy changes, and company announcements by regularly checking communications from head office.

5.14. Partners shall assist in resolving minor disputes or issues faced by local users and escalate serious matters to the head office promptly.

5.15. Partners shall maintain accurate records of all local activities, expenses, and customer interactions for audit and reporting purposes.


6. TERRITORY AND EXCLUSIVITY

6.1. Each Branch Partner is assigned a specific territory, typically a city or district, where they have the primary right to represent Resume Kendra as the official Branch Partner.

6.2. The territory assignment is documented in the Branch Partnership Agreement and may be reviewed periodically based on performance, market potential, and business requirements.

6.3. Branch Partners shall focus all their promotional and operational activities within their assigned territory and shall not actively operate in another Branch Partner's territory without prior written approval from head office.

6.4. The partnership is generally exclusive within the assigned territory, meaning no other Branch Partner will be appointed in the same city or district during the term of the agreement, subject to performance conditions.

6.5. In larger cities, multiple Branch Partners may be appointed with clearly defined zones or areas to ensure comprehensive coverage and healthy collaboration.

6.6. Branch Partners may request territory expansion to neighboring areas based on demonstrated performance and business justification, subject to approval by the head office.

6.7. Resume Kendra reserves the right to modify territory assignments with reasonable notice to optimize market coverage and business outcomes.

6.8. Branch Partners shall not establish any physical branch office outside their assigned territory without explicit written permission.

6.9. Any leads or inquiries originating from the assigned territory belong to the Branch Partner, provided they are actively performing their duties.

6.10. Upon termination, the Branch Partner's rights in the territory cease immediately, and all materials related to Resume Kendra must be returned to the head office at Mandsaur.


7. COMMISSION AND INCENTIVE STRUCTURE

7.1. Branch Partners earn commissions on various activities performed in their territory as detailed in their individual Branch Partnership Agreement and this Policy.

7.2. Candidate Onboarding Commission: Partners receive a fixed amount for each new Candidate who registers through their efforts and completes at least basic profile information including education and skills.

7.3. Employer Onboarding Commission: Partners receive a fixed amount for each new Employer who registers through their efforts and creates a complete company profile with verification.

7.4. Assisted Recharge Commission: Partners earn a percentage of the amount when they perform Assisted Recharges for Candidates or Employers, as detailed in Section 8.

7.5. Job Posting Commission: Partners may earn a commission when Employers in their territory post paid job listings.

7.6. Premium Service Commission: Partners earn a commission when users in their territory purchase premium services or subscriptions.

7.7. Performance Incentives: Additional bonuses and incentives are awarded for achieving or exceeding quarterly targets, with details communicated at the beginning of each quarter.

7.8. Annual Performance Bonus: Top-performing Branch Partners may receive an annual performance bonus based on full-year achievements.

7.9. Special Campaign Incentives: From time to time, special campaigns may be launched with additional incentives for specific activities or achievements during festive seasons or company initiatives.

7.10. Referral Bonus: Branch Partners may receive a referral bonus for recommending new Branch Partner candidates who are successfully onboarded.

7.11. Commission rates are confidential to each Branch Partner and are specified in their individual Branch Partnership Agreement.

7.12. Commissions are calculated based on successful, verified activities and transactions and are credited to the Branch Partner's Wallet as per the settlement schedule.

7.13. All commissions are subject to applicable tax deductions as per Indian tax laws, with TDS certificates provided.

7.14. Commission structures may be revised periodically with 30 days notice to Branch Partners.

7.15. No commission is payable for activities that are later found to be fraudulent, duplicate, or in violation of policies.


8. WALLET FACILITIES FOR BRANCH PARTNERS

8.1. Each Branch Partner is provided with a dedicated Branch Partner Wallet accessible through their Partner Dashboard for managing commissions, performing Assisted Recharges, and handling financial transactions.

8.2. The Branch Partner Wallet has three main components: Commission Balance (earnings from activities), Float Balance (funds for Assisted Recharges), and Withdrawable Balance (amount that can be transferred to bank).

8.3. Commission Balance: All earnings from onboarding, recharges, and other activities are credited here. This balance is not directly usable for recharges but must be withdrawn to bank.

8.4. Float Balance: Branch Partners must maintain Float Balance by adding funds through bank transfer, UPI, or other payment methods. This balance is used exclusively for performing Assisted Recharges.

8.5. Withdrawable Balance: Amounts transferred from Commission Balance become withdrawable and can be transferred to the Branch Partner's registered bank account.

8.6. When performing an Assisted Recharge for a Candidate or Employer, the amount is debited from the Partner's Float Balance and credited to the Customer's Wallet after verification.

8.7. Commissions earned from Assisted Recharges (typically a percentage) are credited to the Partner's Commission Balance within 24-48 hours after successful verification.

8.8. Branch Partners can transfer funds from their Commission Balance to Withdrawable Balance at any time through the dashboard.

8.9. Withdrawal requests from Withdrawable Balance are processed within 3-5 business days, subject to a minimum withdrawal amount of ?500.

8.10. Branch Partners can view their complete Wallet history, including all recharges, commissions earned, withdrawals, and current balances in the Partner Dashboard.

8.11. A monthly Wallet statement is sent via email for record-keeping and tax purposes.

8.12. The Branch Partner Wallet is subject to the general Wallet Policy of Resume Kendra, with additional features specific to Branch Partners as outlined in this Section.

8.13. Any misuse of Wallet facilities, including fraudulent recharges or misappropriation of funds, may result in forfeiture of balances and immediate termination of partnership with legal action.

8.14. Branch Partners are responsible for maintaining sufficient Float Balance to serve their Customers' recharge needs without delay.

8.15. In case of any discrepancy in Wallet transactions, Partners must report to branch.wallet@resumekendra.info within 48 hours.


9. ASSISTED RECHARGE PROCESS

9.1. Assisted Recharge is a key service provided by Branch Partners to help Candidates and Employers add funds to their Wallets conveniently, especially those who are not comfortable with online payments.

9.2. Step 1: Customer Request - A Candidate or Employer approaches the Branch Partner at their local office or through phone requesting to recharge their Wallet with a specific amount.

9.3. Step 2: Customer Verification - The Branch Partner verifies the Customer's identity by checking their registered phone number, email, or User ID to ensure they are recharging the correct account.

9.4. Step 3: Partner Login - The Branch Partner logs into their Partner Dashboard through the website or mobile app and navigates to the "Assisted Recharge" section.

9.5. Step 4: Customer Search - The Partner enters the Customer's registered email, phone number, or User ID to locate their account in the system.

9.6. Step 5: Customer Details Confirmation - The system displays the Customer's basic information (name, user type, city). The Partner verbally confirms these details with the Customer.

9.7. Step 6: Enter Recharge Amount - The Partner enters the amount requested by the Customer, ensuring it is within allowable limits (minimum ?100, maximum ?10,000 per transaction).

9.8. Step 7: Select Payment Source - The Partner selects "Partner Float Balance" as the payment source and confirms that sufficient Float Balance is available.

9.9. Step 8: Collect Payment from Customer - The Branch Partner collects the cash or digital payment from the Customer for the recharge amount plus any applicable service fee as permitted.

9.10. Step 9: Confirm Transaction - The Partner reviews all details and confirms the transaction. The amount is immediately debited from their Float Balance.

9.11. Step 10: Provide Receipt - The system generates a receipt. The Partner provides a printed or digital receipt to the Customer as proof of transaction.

9.12. Step 11: System Creates Request - The system generates a recharge request with "Pending Verification" status and notifies the Customer via SMS and email.

9.13. Step 12: Verification Period - The recharge enters the standard 24-48 hour verification period as per the Wallet Policy. During this time, the amount is not yet visible in Customer's Wallet.

9.14. Step 13: Verification Completion - After successful verification by the head office, the amount is credited to the Customer's Wallet and the Customer receives confirmation.

9.15. Step 14: Commission Calculation - Upon successful verification, the system automatically calculates the Partner's commission (e.g., 2-5% of recharge amount) and credits it to their Commission Balance.

9.16. Step 15: Transaction Record - The complete transaction is recorded in both the Partner's and Customer's transaction histories for future reference.

9.17. Failed Verification Handling: If verification fails due to technical issues or discrepancies, the amount is returned to the Partner's Float Balance, and the Partner must refund the Customer.

9.18. Branch Partners must maintain a register of all Assisted Recharges performed, including Customer details, amount, date, and receipt number for audit purposes.

9.19. Any disputes regarding Assisted Recharges must be reported to the head office at Mandsaur within 24 hours.

9.20. Branch Partners shall not charge Customers any amount beyond the official recharge amount unless expressly permitted by head office.


10. PERFORMANCE TARGETS AND REVIEW

10.1. Branch Partners are expected to meet minimum performance targets as specified in their Branch Partnership Agreement, which include monthly goals for candidate onboarding, employer onboarding, and assisted recharge volumes.

10.2. Typical minimum targets may include: 50 new Candidates per month, 10 new Employers per month, and ?25,000 worth of Assisted Recharges per month (targets vary by territory size and potential).

10.3. Performance is monitored on a daily and weekly basis through the Partner Dashboard, which provides real-time metrics, progress tracking, and comparison with targets.

10.4. Weekly performance review calls are conducted with the regional coordinator to discuss achievements, challenges, and strategies for improvement.

10.5. Monthly performance reports are generated automatically and shared with Branch Partners for their review and records.

10.6. Quarterly business reviews are conducted either at Mandsaur or through video conference to assess overall performance, address challenges, recognize achievements, and plan future strategies.

10.7. Partners who consistently exceed targets (120% or more for three consecutive months) may be eligible for enhanced commission rates, territory expansion, or special recognition as Star Branch Partner.

10.8. Partners who consistently fail to meet minimum targets (below 70% for three consecutive months) may be placed on a performance improvement plan with additional support and monitoring.

10.9. Continued underperformance despite improvement plan may lead to termination of partnership.

10.10. Performance targets may be adjusted based on market conditions, seasonality, local economic factors, and other relevant considerations, with reasonable notice to Partners.

10.11. Partners are encouraged to maintain open communication with the regional coordinator about any factors affecting their performance.

10.12. Top-performing Branch Partners may be featured in company communications, invited to special events, and considered for leadership roles in the partner network.

10.13. Annual awards and recognition are given to the best-performing Branch Partners across categories.


11. MARKETING AND PROMOTION GUIDELINES

11.1. Branch Partners may conduct local marketing activities to promote Resume Kendra within their territory, subject to these guidelines and prior approval where required.

11.2. All marketing materials, including brochures, banners, posters, hoardings, and digital content, must be pre-approved by the head office at Mandsaur before use or distribution.

11.3. Partners may request marketing materials from the head office, which will be provided at subsidized rates or as specified in the Branch Partnership Agreement.

11.4. Partners shall not make any false, exaggerated, or misleading claims about Resume Kendra's services, fees, benefits, or success rates.

11.5. Partners shall not promise or guarantee job placement to any Candidate or guarantee candidate selection to any Employer, as Resume Kendra is a marketplace facilitating connections, not a guarantor of outcomes.

11.6. Marketing activities must comply with all applicable laws and regulations, including those related to advertising standards and consumer protection.

11.7. Partners shall maintain professional standards in all promotional activities and shall not engage in aggressive, intrusive, or unethical marketing practices.

11.8. Any marketing expenses incurred by Partners are their own responsibility unless otherwise agreed in writing with the head office.

11.9. Partners may organize local events, job fairs, career workshops, or awareness camps with prior written approval from the head office, which may provide support materials and sometimes financial assistance.

11.10. Digital marketing activities, including social media promotion, must use only approved content, hashtags, and must clearly identify the Branch Partner as an authorized representative.

11.11. Partners shall not engage in spam messaging, cold calling beyond reasonable limits, or any practice that could annoy or harass potential customers.

11.12. All marketing communications must include the Branch Partner's contact details and the head office address at Sanjeet Naka, Mandsaur.

11.13. Partners shall not make any comparisons with competitors that could be considered defamatory or misleading.

11.14. Any marketing complaints received from the public must be promptly reported to the head office.

11.15. Partners may use local media (newspapers, radio, cable TV) for promotions only with prior approval and approved content.


12. BRANCH USAGE GUIDELINES

12.1. Branch Partners are authorized to use the designation "Authorized Branch Partner - Resume Kendra" along with their territory name in all communications and marketing materials.

12.2. The Resume Kendra logo and name must be used exactly as provided by the head office, without any modification, distortion, or combination with other elements.

12.3. Partners may set up a small office or workspace with appropriate signage indicating "Resume Kendra - Authorized Branch Partner [City Name]" subject to approval of signage design.

12.4. Any physical branch office must maintain a professional appearance and shall not be located in premises that could harm the brand image.

12.5. Partners shall not use the Resume Kendra name or logo in any way that suggests ownership of the brand or a larger corporate entity than actually exists.

12.6. Partners shall not register any domain names, social media handles, or digital properties containing "Resume Kendra" or similar variations without written consent from the head office.

12.7. All branch materials, including visiting cards, letterheads, and office signage, must include the disclaimer: "Authorized Branch Partner of Resume Kendra, RADHEJU & SONS, Mandsaur."

12.8. Partners shall not use the brand in any manner that could harm the reputation, goodwill, or intellectual property rights of Resume Kendra or RADHEJU & SONS.

12.9. Upon termination, all rights to use the Resume Kendra brand and branch designation cease immediately, and all branded materials, signage, and inventory must be returned to the head office at Mandsaur or destroyed with certification.

12.10. Any unauthorized use of the brand may result in legal action and termination of partnership with claims for damages.

12.11. Partners shall not create any impression that they are employees of Resume Kendra rather than independent Branch Partners.

12.12. Branch Partners may mention their association with Resume Kendra on their personal social media profiles but must clearly state their role as Branch Partner.


13. REPORTING AND DOCUMENTATION

13.1. Branch Partners must maintain accurate and complete records of all their activities, including customer interactions, recharges performed, marketing expenses, and daily operations.

13.2. Daily Activity Log: Partners must submit a simple daily activity log through the Partner Dashboard summarizing the day's activities, meetings held, and outcomes.

13.3. Weekly Progress Report: A detailed weekly report must be submitted every Monday, covering the previous week's achievements, challenges, plans for the coming week, and any support required.

13.4. Monthly Performance Report: The system automatically generates monthly performance reports, but Partners must review and confirm their accuracy by the 5th of each month.

13.5. Quarterly Business Review Presentation: Partners must prepare a presentation for quarterly reviews covering performance analysis, market feedback, competitor intelligence, and growth plans.

13.6. Customer Onboarding Documents: Copies of documents collected during customer onboarding must be maintained as per data protection requirements and made available for audit if requested.

13.7. Recharge Register: A manual or digital register of all Assisted Recharges performed must be maintained, including Customer name, amount, date, UTR, and receipt number.

13.8. Expense Records: Partners should maintain records of all marketing and operational expenses for their own tax purposes and for any reimbursements agreed with head office.

13.9. Photographs and Proof: Partners should maintain photographs of events conducted, meetings with important clients, and marketing activities as proof of work.

13.10. All reports must be truthful, accurate, and submitted on time. Delayed or false reporting may affect commission payments or lead to disciplinary action.

13.11. Partners must promptly report any issues, complaints, disputes, or unusual incidents to the head office for guidance and resolution.

13.12. Accurate record-keeping is essential for commission calculation, dispute resolution, and audit purposes.

13.13. All records must be retained for at least 3 years after the end of the financial year or longer as required by law.

13.14. Partners may be subject to periodic audits by the head office, and full cooperation must be provided.


14. TRAINING AND SUPPORT

14.1. Resume Kendra provides comprehensive initial training to all new Branch Partners at the head office in Mandsaur, covering platform features, policies, sales techniques, compliance, and branch operations.

14.2. The initial training program is of 3 days duration, with all expenses (travel, accommodation, food) borne by the Branch Partner unless otherwise agreed.

14.3. Ongoing training and skill development programs are conducted periodically through webinars, online courses, and regional workshops to keep Partners updated on new features and best practices.

14.4. Partners have access to a dedicated Branch Partner Support team via email at branch.support@resumekendra.info for assistance with operational issues, technical problems, and policy clarifications.

14.5. A Partner Resource Library containing marketing materials, presentation templates, FAQs, training videos, and guides is available through the Partner Dashboard 24x7.

14.6. Regular webinars and online meetings are conducted to share updates, address common challenges, recognize achievements, and foster collaboration among Branch Partners across India.

14.7. Regional coordinators are appointed to provide personalized support, conduct field visits, and mentor Branch Partners in their region.

14.8. Field support visits may be conducted by the regional team to provide on-ground assistance, joint client meetings, and guidance for improvement.

14.9. A dedicated helpline number is available for urgent queries during business hours.

14.10. Partners are encouraged to share feedback and suggestions for improving training programs, support systems, and platform features.

14.11. Advanced training programs and leadership development initiatives may be offered to top-performing Branch Partners.

14.12. A knowledge sharing platform (WhatsApp group or forum) connects all Branch Partners for peer learning and collaboration.

14.13. Quarterly meetings at the regional level allow Partners to network, share experiences, and learn from each other.

14.14. Annual Partner Summit is organized at Mandsaur or another location to celebrate achievements, provide advanced training, and plan for the coming year.


15. CODE OF CONDUCT

15.1. Branch Partners shall conduct themselves with the highest standards of honesty, integrity, and professionalism in all dealings with Customers, the head office, fellow Partners, and the public.

15.2. Partners shall treat all Customers with respect, courtesy, and dignity, without discrimination based on caste, religion, gender, age, disability, socioeconomic status, or any other factor.

15.3. Partners shall not engage in any fraudulent, deceptive, or misleading practices, including false promises of job guarantees, fake success stories, or misrepresentation of platform capabilities.

15.4. Partners shall maintain strict confidentiality of all Customer information and shall not share it with any unauthorized person or use it for any purpose other than legitimate platform activities.

15.5. Partners shall not accept any bribes, kickbacks, commissions from third parties, or inappropriate gifts from Customers or others in connection with their role as Branch Partner.

15.6. Partners shall not engage in any activity that could create a conflict of interest with their responsibilities to Resume Kendra, such as promoting competing platforms or services.

15.7. Partners shall comply with all applicable central, state, and local laws and regulations in their territory.

15.8. Partners shall not make any negative, disparaging, or defamatory statements about Resume Kendra, RADHEJU & SONS, its management, employees, or other Partners.

15.9. Partners shall maintain professional appearance and behavior, especially when representing Resume Kendra in public or at events.

15.10. Partners shall not use abusive language, engage in arguments, or create scenes that could harm the brand image.

15.11. Partners shall not indulge in any political activities or religious preaching while representing Resume Kendra.

15.12. Partners shall not consume alcohol or drugs before or during any activity related to Resume Kendra.

15.13. Partners shall respect the intellectual property rights of Resume Kendra and third parties.

15.14. Any violation of the Code of Conduct may result in immediate termination of partnership, forfeiture of pending commissions, and legal action as applicable.

15.15. Partners are expected to report any observed violations of the Code by others to the head office through protected channels.

15.16. Partners shall cooperate fully in any investigation of alleged misconduct.


16. CONFIDENTIALITY OBLIGATIONS

16.1. Branch Partners may have access to confidential information about Resume Kendra, including business strategies, customer data, financial information, commission structures, operational details, and future plans.

16.2. "Confidential Information" includes all information disclosed by Resume Kendra to the Branch Partner, whether orally or in writing, that is designated as confidential or that reasonably should be considered confidential given the nature of the information.

16.3. Confidential Information must be kept strictly confidential and shall not be disclosed to any third party without prior written consent from Resume Kendra.

16.4. Partners shall use Confidential Information solely for performing their duties under the partnership and for no other purpose whatsoever.

16.5. Confidentiality obligations continue indefinitely, even after termination of the partnership for any reason.

16.6. Partners shall implement reasonable security measures to protect Confidential Information from unauthorized access, use, or disclosure.

16.7. Partners shall limit access to Confidential Information to only those employees or family members who need it to perform partnership duties, and ensure they are bound by similar confidentiality obligations.

16.8. In case of any actual or suspected breach of confidentiality, Partners must immediately notify the head office at Mandsaur.

16.9. Partners shall assist Resume Kendra in investigating any breach and mitigating its effects.

16.10. Breach of confidentiality may result in immediate termination of partnership, forfeiture of all commissions, and legal action for damages and injunctive relief.

16.11. This Section does not apply to information that is or becomes publicly available through no fault of the Partner, or information required to be disclosed by law or court order.

16.12. If required to disclose by law, the Partner must promptly notify Resume Kendra to allow opportunity to contest the disclosure.


17. RELATIONSHIP WITH RESUME KENDRA

17.1. Branch Partners are independent contractors and not employees, agents, franchisees, or joint venture partners of Resume Kendra or RADHEJU & SONS.

17.2. Nothing in this Policy or the Branch Partnership Agreement creates an employer-employee relationship between the parties.

17.3. Partners are solely responsible for their own taxes, insurance, benefits, retirement planning, and compliance with all applicable laws as independent business entities.

17.4. Partners have no authority to bind Resume Kendra to any contract, agreement, or obligation without express written authorization from the head office.

17.5. Partners shall clearly disclose to Customers that they are independent Branch Partners, not employees of Resume Kendra, when asked or when confusion might arise.

17.6. Partners shall not represent themselves as having any authority beyond what is expressly granted in this Policy and the Branch Partnership Agreement.

17.7. The partnership is non-exclusive unless otherwise specified, and Partners may engage in other business activities that do not conflict with their obligations to Resume Kendra.

17.8. Partners shall not engage in any activity that could create the appearance that they are employees, such as wearing uniforms resembling employee uniforms or using titles implying employment.

17.9. Partners are responsible for their own working hours, methods, and expenses, and Resume Kendra does not control how Partners perform their work, only the outcomes and compliance with policies.

17.10. Partners shall indemnify and hold harmless Resume Kendra from any claims, damages, or liabilities arising from their actions or omissions.

17.11. This relationship is governed by the laws of India, and any disputes shall be resolved as per Section 20.


18. TAXATION AND COMPLIANCE

18.1. Branch Partners are solely responsible for understanding and fulfilling all tax obligations arising from their partnership, including income tax, Goods and Services Tax (GST), professional tax, and any other applicable taxes.

18.2. Partners must provide valid Permanent Account Number (PAN) and Goods and Services Tax Identification Number (GSTIN) if applicable, for commission payments and statutory compliance.

18.3. Resume Kendra will deduct Tax Deducted at Source (TDS) on commission payments as per applicable provisions of the Income Tax Act and provide TDS certificates (Form 16A) annually.

18.4. Partners whose annual commission exceeds the GST registration threshold must obtain GST registration and issue valid tax invoices to Resume Kendra for commission payments.

18.5. Partners must comply with all local, state, and central laws applicable to their business activities, including but not limited to Shop and Establishment Act, labor laws, and consumer protection laws.

18.6. Partners shall maintain proper books of accounts and records of all income and expenses for tax and audit purposes for at least 6 years.

18.7. Partners may be required to provide periodic declarations of compliance with tax and other legal obligations.

18.8. Failure to comply with tax obligations or provide required documentation may result in withholding of commission payments or termination of partnership.

18.9. Partners indemnify Resume Kendra against any claims, penalties, interest, or liabilities arising from their failure to comply with tax laws or other legal requirements.

18.10. Partners shall inform Resume Kendra immediately of any change in their PAN, GST registration status, or business structure.

18.11. Partners are encouraged to consult their own tax advisors for professional advice on their tax obligations.

18.12. Resume Kendra does not provide tax advice and is not responsible for the Partner's tax compliance.


19. TERMINATION OF PARTNERSHIP

19.1. Either party may terminate the partnership by giving 30 days written notice to the other party without cause.

19.2. Resume Kendra may terminate the partnership immediately without notice for cause, including but not limited to the following reasons:

19.3. Material breach of this Policy or the Branch Partnership Agreement that is not cured within 7 days of notice.

19.4. Fraudulent, deceptive, or illegal activities by the Partner, including misappropriation of funds or customer data.

19.5. Conduct that harms the reputation, goodwill, or brand image of Resume Kendra or RADHEJU & SONS.

19.6. Conviction of the Partner for any criminal offense.

19.7. Failure to meet minimum performance targets for three consecutive quarters despite support and improvement plans.

19.8. Breach of confidentiality obligations.

19.9. Engaging in business activities that conflict with Resume Kendra's interests.

19.10. Insolvency, bankruptcy, or cessation of business by the Partner.

19.11. Providing false information during application or ongoing relationship.

19.12. Upon termination for any reason, all rights and privileges of the Partner cease immediately.

19.13. Within 15 days of termination, the Partner must:
- Return all confidential materials, branded items, and branch kit to Mandsaur
- Remove all signage and references to Resume Kendra from their premises
- Cease using the Resume Kendra name, logo, or brand in any form
- Transfer any pending customer inquiries to the head office
- Settle all outstanding dues with Resume Kendra

19.14. Commissions earned before termination will be calculated and paid as per the normal schedule, subject to any setoff for amounts owed to Resume Kendra.

19.15. No further commissions are payable after the effective date of termination, even for activities initiated before termination.

19.16. Float Balance remaining in the Partner's Wallet will be refunded after deducting any pending liabilities, within 45 days of termination.

19.17. Termination does not relieve the Partner of obligations that by their nature survive termination, including confidentiality, indemnification, and dispute resolution provisions.

19.18. Partners may appeal termination by writing to the head office within 15 days, but the decision of Resume Kendra is final.


20. DISPUTE RESOLUTION

20.1. Any dispute, controversy, or claim arising out of or relating to this Policy or the Branch Partnership Agreement, including the breach, termination, or validity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties.

20.2. If a dispute cannot be resolved through negotiations within 30 days, the parties shall attempt to resolve it through mediation at Mandsaur, Madhya Pradesh, with a mediator mutually agreed upon.

20.3. If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

20.4. The arbitration shall be conducted in Mandsaur, Madhya Pradesh, in the English language, by a sole arbitrator appointed by mutual agreement of the parties, or if they cannot agree, by the District Court, Mandsaur.

20.5. The arbitration award shall be final and binding on both parties, and judgment may be entered in any court having jurisdiction.

20.6. Each party shall bear its own costs of arbitration, and the arbitrator's fees and administrative costs shall be shared equally unless the arbitrator decides otherwise.

20.7. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from the courts in Mandsaur, Madhya Pradesh to protect its intellectual property rights, confidential information, or to prevent irreparable harm.

20.8. The prevailing party in any arbitration or legal proceeding shall be entitled to recover reasonable attorneys' fees and costs.

20.9. Any dispute regarding the validity, enforceability, or scope of this dispute resolution provision shall be decided by the arbitrator.

20.10. The parties agree to keep the arbitration proceedings and any award confidential, except as necessary to enforce the award or as required by law.

20.11. This dispute resolution mechanism shall not apply to disputes requiring urgent legal intervention as per applicable law.

20.12. The governing law for all disputes shall be the laws of India, and the courts in Mandsaur shall have exclusive jurisdiction over any matters not subject to arbitration.


21. AMENDMENTS TO POLICY

21.1. Resume Kendra reserves the right to amend, modify, or update this Branch Partner Policy at any time to reflect changes in business needs, market conditions, legal or regulatory requirements, or operational improvements.

21.2. Material amendments that significantly affect the rights or obligations of Branch Partners will be communicated via email to the registered email address at least 30 days before they become effective.

21.3. Minor amendments, clarifications, or changes that do not materially affect Partner rights may become effective immediately upon posting to the Partner Dashboard or website.

21.4. It is the Branch Partner's responsibility to regularly review the latest version of this Policy available on the Partner Dashboard.

21.5. Continued partnership after amendments become effective constitutes acceptance of the modified Policy.

21.6. If a Branch Partner does not agree with any material amendment, they may terminate the partnership by giving 30 days written notice as per Section 19, before the amendments take effect.

21.7. The latest version of this Policy will always be available on the Partner Dashboard, and the "Last Updated" date at the top will indicate the current version.

21.8. In case of any conflict between this Policy and the Branch Partnership Agreement, the Agreement shall prevail unless the Policy amendment is specifically accepted in writing.
